Terms of use

1. These terms

These terms govern your use of cryptodigital.io and anything published on it (the "Site"), which is operated by Facto Global LLC ("Crypto Digital", "we", "us"). By using the Site or joining the waitlist, you agree to these terms. If you do not agree, do not use the Site.

2. The Site is a preview

Crypto Digital is not yet available. The Site describes a service we intend to offer and lets you join a waitlist. Descriptions of the service, including how it is meant to work, what a message may contain, how quickly it may arrive, and who we open it to and in what order, describe our current intentions and may change. Joining the waitlist is free, creates no obligation on you or on us, and does not entitle you to the service, to any particular terms, or to any price. We may change, suspend or close the waitlist, or decide not to launch, at any time.

3. Information, not advice

Everything on the Site, including any example message, illustration or figure, is general information only. None of it is investment, financial, legal or tax advice, and none of it is a recommendation to buy, sell or hold any digital asset or to take or refrain from any action. Nothing on the Site is tailored to your circumstances, and no fiduciary, advisory or client relationship arises from your use of the Site or from joining the waitlist.

Crypto Digital is not a broker-dealer, financial advisor, registered investment adviser or commodity trading advisor, and it does not provide personalized investment, legal or tax advice.

4. No promise of any result

We make no promise, representation or guarantee that any information on the Site is accurate, complete or current, or that acting on any information will produce any profit, return or other result or avoid any loss. Examples and illustrations are labelled as such, are not real alerts, and do not describe what has happened or will happen. Digital assets are highly volatile, and you can lose all of the value you commit to them.

5. Your decisions are yours

You are solely responsible for your own decisions about digital assets, including whether to act on anything you read on the Site. Consult a qualified professional before making financial decisions.

6. Using the Site

You may use the Site for your own personal, non-commercial purposes. You may not:

  • copy, scrape, harvest or republish the Site's content by automated means;
  • interfere with, probe or overload the Site or its security;
  • submit false details, or details of another person without their permission, to the waitlist; or
  • use the Site in breach of any law.

7. Ownership

The Site, its text, design, graphics and the Crypto Digital name are owned by us or our licensors. These terms give you no rights in them other than the limited permission in section 6.

8. Other services

The Site may link to websites and services operated by others. Those services are governed by their own terms and privacy policies, and we are not responsible for them.

9. Disclaimer of warranties

The Site and all information on it are provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including warranties of accuracy, merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law.

10. Limitation of liability

To the fullest extent permitted by law, Crypto Digital and its owners, officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, funds, digital assets, data or goodwill, arising out of or relating to the Site, the waitlist or any decision you make, even if advised of the possibility of such damages. Our total liability for all claims relating to the Site and the waitlist will not exceed US$100.

Some jurisdictions do not allow certain of these exclusions or limitations, in which case they apply to you only to the extent permitted.

11. Indemnity

You agree to indemnify and hold harmless Crypto Digital and its owners, officers, employees and agents from any claim, loss or expense, including reasonable attorneys' fees, arising from your breach of these terms or your misuse of the Site.

12. Governing law and disputes

These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. Any dispute arising out of or relating to these terms or the Site shall be brought exclusively in the state or federal courts located in the State of Delaware, and you consent to their jurisdiction. Nothing in this section removes any mandatory right you have under the consumer protection laws of the country where you live.

13. Changes to these terms

We may change these terms at any time and for any reason. We will post the changed terms on the Site with a new effective date, and they take effect when posted. We will not notify you individually, so check this page before you use the Site. If you use the Site after the new effective date, you accept the changed terms. If you do not accept them, do not use the Site. Changes apply from their effective date forward, and do not apply to any dispute that arose before it.

14. General

If any provision is found unenforceable, the rest remain in effect. These terms, together with our privacy notice, are the entire agreement between you and us about the Site. Our failure to enforce a provision is not a waiver of it.
